Mamah Studio: Terms & Conditions

Good work starts with a clear foundation.

These terms govern all projects, proposals, and engagements with Mamah Studio. They exist to protect both parties, set clear expectations, and keep projects moving without unnecessary friction. By proceeding with a project, proposal, or invoice, the client confirms acceptance of these terms.

1. Engagement Model

Services are offered on a project-based model. The scope, deliverables, and timelines for each project are agreed upon in writing before work begins. No work commences without a confirmed brief and advance payment.

2. Advance Payment

A non-refundable advance is required to initiate work. The advance amount is determined on a per-project basis and confirmed in writing before work begins. This advance confirms the client's commitment and secures time on the studio's schedule. Work begins only after the advance payment is received.

3. Payment Schedule

All payments are structured across predefined milestones tied to project progress, not calendar dates. Milestone definitions and amounts are agreed upon prior to project commencement. Invoices are payable within 7 days of issue unless otherwise agreed in writing.

If payment is delayed beyond the due date, work may be paused until the outstanding amount is cleared. Final deliverables are released only after full payment is received.

4. Scope & Additional Work

All work is limited to the agreed project scope. Requests that fall outside this scope are treated as additional work and handled separately. They will be reviewed and estimated independently, a revised timeline and cost will be proposed before proceeding, and work begins only after written approval from the client. All scope changes and approvals must be confirmed via email to be considered binding.

5. Communication & Legal Discussions

All project-related confirmations, approvals, scope changes, and legal discussions must be conducted via email. Verbal discussions and informal messages — including calls, WhatsApp, or similar — are not considered binding unless followed by written confirmation via email.

6. Feedback & Revisions

Design is an iterative process. Reasonable revisions are included as part of the engagement and are intended to refine and improve agreed directions, not to restart or redefine scope. Feedback should be consolidated, clear, specific, and provided within agreed timelines. Requests that fundamentally change direction or redefine scope will be treated as new scope and estimated accordingly.

7. Client Responsibilities

The client is responsible for providing timely feedback and approvals at each milestone, delivering required content and assets as agreed, and making decisions promptly. Delays caused by the client may affect delivery timelines, and revised timelines will be communicated in writing.

8. Ownership & Intellectual Property

Ownership of all final, approved deliverables transfers to the client only upon receipt of full payment. Until then, all work remains the intellectual property of Mamah Studio. Mamah Studio retains the right to display completed work in its portfolio and case studies unless the client has requested confidentiality in writing prior to project commencement.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business strategy, product details, technical information, and commercial terms. This obligation applies during the project and continues after its conclusion. If the client requires a formal NDA prior to project discussions, this can be accommodated upon request.

10. Working Model

All work is performed directly by the designer at Mamah Studio. No work is subcontracted or outsourced without prior written approval from the client.

11. Design Tools & Software

All product design work is executed in Figma. If the client does not have an active Figma plan that covers collaboration, the applicable Figma seat cost will be discussed and agreed upon before the project begins, and billed accordingly.

12. Termination

Either party may terminate the engagement with written notice. All work completed up to the termination date will be invoiced at the agreed rate. The non-refundable advance will not be returned. Deliverables produced up to that point remain the property of Mamah Studio until all outstanding invoices are settled.
